Terms of Service

1. Acceptance of Terms

By accessing or using the SOVR platform, browser extension, VS Code extension, SDK, MCP server, or any other SOVR products and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and SOVR Inc. ("SOVR," "we," "us," or "our"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

SOVR provides an AI Responsibility Layer — a sovereign verification system that sits between AI agent intent and execution. The Services include:

3. Account Registration and Security

Account Creation. To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

API Keys. You are responsible for safeguarding your API keys and any other credentials associated with your account. You must not share your API keys with unauthorized parties. You are fully responsible for all activities that occur under your account or API keys.

Notification of Breach. You must notify us immediately at [email protected] if you become aware of any unauthorized access to or use of your account or API keys.

4. Subscription Plans and Pricing

The Services are offered under multiple subscription tiers. Each tier includes specific usage quotas and feature entitlements as described on our pricing page. The current plans are:

Pricing is subject to change with 30 days' notice. Current pricing is always available at sovr.inc/explore.

5. Payment and Billing

Billing Cycle. Paid subscriptions are billed monthly in advance. Payment is processed through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis.

Overage. If you exceed your plan's monthly quotas, additional usage may be billed at the overage rates specified on the pricing page, or your access may be throttled until the next billing cycle, depending on your plan configuration.

Refunds. Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to paid features until the end of your current billing period.

Taxes. All prices are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed by your jurisdiction.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

7. Intellectual Property

SOVR's IP. The Services, including all software, documentation, trademarks, logos, and content provided by SOVR, are the intellectual property of SOVR Inc. and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.

Open Source Components. Certain components of the Services (such as the SDK and MCP server) are released under open-source licenses as specified in their respective repositories. Your use of those components is governed by the applicable open-source license in addition to these Terms.

Your Data. You retain all rights to the data you submit to or generate through the Services. By using the Services, you grant SOVR a limited, non-exclusive license to process your data solely for the purpose of providing the Services to you.

8. Service Availability and SLA

Availability. We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Degradation and Fail-Safe. The SOVR system is designed with built-in degradation capabilities. If the SOVR API is unreachable, the Extensions and SDK will operate in a fail-closed mode, blocking irreversible actions by default to protect your systems. This is an intentional safety feature, not a service failure.

Enterprise SLA. Enterprise plan customers may negotiate a separate Service Level Agreement (SLA) with specific uptime guarantees and support response times.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOVR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

Cap on Liability. SOVR's total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to SOVR in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.

AI Decision Disclaimer. SOVR provides a verification and audit layer for AI agent actions. SOVR does not control, direct, or guarantee the behavior of any AI agent. The ultimate responsibility for AI agent actions and their consequences rests with the user or organization deploying the AI agent. SOVR's gate check and approval mechanisms are advisory tools designed to assist human oversight, not to replace it.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOVR DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

SOVR does not warrant that the gate check mechanism will detect all potentially harmful AI actions, that the audit trail will be immune to all forms of tampering, or that the kill-switch will halt all AI operations in all circumstances. These features are designed to significantly reduce risk but cannot eliminate it entirely.

11. Indemnification

You agree to indemnify, defend, and hold harmless SOVR and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any actions taken by AI agents operating under your account.

12. Termination

By You. You may terminate your account at any time by contacting us at [email protected] or through the account settings in the SOVR dashboard. Upon termination, your access to paid features will continue until the end of your current billing period.

By SOVR. We may suspend or terminate your access to the Services immediately, without prior notice, if: (a) you breach these Terms; (b) your use of the Services poses a security risk; (c) we are required to do so by law; or (d) your account has been inactive for more than 12 months.

Effect of Termination. Upon termination, your right to use the Services ceases immediately. We will retain your audit data for the retention period specified in your plan, after which it will be permanently deleted. You may request an export of your data prior to termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with the arbitration taking place in Wilmington, Delaware.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the SOVR dashboard, extension update notes, or email notification at least 30 days before they take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

15. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SOVR regarding the Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. The failure of SOVR to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. SOVR may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
